Una dintre libertățile fundamentale ale dreptului Uniunii Europene este libera circulație a persoanelor fizice şi a
persoanelor juridice, indiferent de statul membru în care se dorește exercitarea acestei libertăţi.
Exercitarea de către o societate comercială a unor activități comerciale prevăzute în obiectul de activitate, în afara
granițelor statului în conformitate cu legea căruia s-a constituit ori în care și-a stabilit sediul, a devenit în prezent un fenomen obișnuit.
Expansiunea eficientă și controlată a activității companiei trebuie să fie însoțită de o creștere exponențială a numărului
de sucursale, agenții sau filiale, înființate de către societatea-mamă pe teritoriul statelor în care urmărește să pătrundă cu
mărfurile sale. În acest context, criteriile de determinare a naționalității persoanei juridice este un prim subiect care ar fi
necesar de identificat.
One of the fundamental principles in the European Union law is the free movement of natural persons and legal
persons, irrespective of the Member State in which the exercise of this right is sought.
The exercise by a commercial company of commercial activities stipulated in the scope of activity outside the state's

growth in the number of branches, agencies or subsidiaries which are set up by the parent company in the territory of
the States where it intends to enter with its commodities/ services. Thus, the criteria for determining the nationality of
the legal person are the first matter that should be identified.
