Printre contractele propuse contractanţilor, contractul de adeziune este luat deseori, ca un exemplu cel mai caracteristic contractului de consum. George Ripert, scria că „în unele contracte poziţia părţilor este următoarea: unul din contractanţi este obligat să execute condiţiile care îi sunt propuse şi impuse de cealaltă parte. Aceste contracte au fost numite contracte de adeziune. Această categorie de contracte, pusă în discuţie în doctrină abia la începutul sec .XX, a constituit obiectul numeroaselor studii. Trebuie să menţionăm că în doctrină, actualmente, existenţa contractului de adeziune nu mai este contestată, astfel încât autorii J. Calais-Auloy, F. Steinmetz constată, în general, că contractele de adeziune constituie o „realitate socială”, cu toate că această categorie contractuală de excepţie, de fapt, a fost impusă de necesităţile producerii şi distribuirii în masă a produselor şi serviciilor oferite consumatorilor. Contractele de adeziune, o consecinţă a fenomenului vânzării în masă, aşa cum le defineşte Directiva nr. 93/13/CEE, sunt imaginea lipsei de negociere directă a stipulaţiilor contractuale. În doctrina franceză, s-a susţinut ideea conform căreia contractul de adeziune reprezintă materializarea abuzului de putere economică a profesionistului, astfel instituindu-se o prezumţie de abuz în ceea ce priveşte contractele de adeziune, prezumţie ce poate fi răsturnată prin proba existenţei negocierii. În practică, s-a pus problema de a şti în ce măsură un contract de administrare, de exemplu, poate fi considerat un contract de adeziune, întrucât unele clauze ale acestui contract pot face obiectul unei negocieri prealabile. Răspunsul este dat de art. 3, alin. (2), pct. 2 al Directivei nr.93/13/CEE privind clauzele abuzive în contractele încheiate cu consumatorii, care prevede că, în pofida faptului că unele clauze au fost supuse unei negocieri prealabile, nu se exclude posibilitatea existenţei unui contract reformulat, dacă aceasta rezultă din evaluarea contractului în întregul său. Lipsa negocierii, în asemenea cazuri, se sprijină pe faptul că nu întotdeauna consumatorul are la îndemână mijloace reale de negociere, ceea ce face ca un astfel de contract să rămână subscris sferei contractelor de adeziune.
Through the all contracts offered to the consumers, the contract of adhesion is the most used example of the consumer contract. George Rippert has mentioned that: „in some agreements the position of the parties is as it follows: one of the parties should obligate himself to execute the stipulations which were imposed or drawn up by one of the parties. These agreements were named the contract of adhesion”. This category of the contracts, which was mentioned in the doctrine only at the beginning of the XXth century, has been considered the main subject of many studies in the field. Also it has to be mentioned that, presently, the existence of the contract of adhesion is not anymore so much debated, as though the authors J.Calais-Auloy, F.-Steinmets could state that, generally, the contract of adhesion constitute a reality of our society, even though that this exceptional category was imposed by the necessities of the production and distribution of the products and services offered to our consumers. The agreements of adhesion, a consequence of the sale phenomena in large proportions, as it is defined in the Directive no. 93/CEE, represents the picture of a lack of the direct negotiation concerning contract provisions. In French doctrine, it was supported the idea according to which the contract of adhesion represents the materialization of the economic power used excessively by the professionals, as that it has been established a presumption of the abuse in regarding of the contracts of adhesion, a presumption that could be rein versed by the proof that confirms the presence of the negotiations. In practice, it was raised up the issue to know in what extent a contract of administration, for example, could be considered a contract of adhesion, as some clauses of this contract could represents the object of a negotiation that had been carried over. The answer of that issue is provided by the art. 3, al. (2), p. 2 of the Directive no. 93/13/CEE regarding the abusive clauses in a consumer contract, which provides that even though some clauses were submitted to a negotiation that had been carried over, it could not be excluded the possibility of a preformed contract, if this results from the evaluation of the content of its whole contract. The lack of the negotiations, in these cases, is based on the fact that that the consumer does not have always at his hand all the real tools to hold a negotiation, which means that this type of contract should be left to be subscribed to the domain of the contract of adhesion.
Так же как и публичный договор, отдельным типом гражданско-правового договора является договор присоединения. Это понятие объединяет в единый тип те договоры, которые были заключены путем присоединения одной из сторон к условиям договора, определенным другой стороной в формулярах или иных стандартных формах. George Ripert, писал, что в некоторых контрактах позиция сторон сводится к следующему: одна из сторон требует выполнить предложенные условия, навязываемые другой стороне. Такие контракты называются договорами присоединения. Эта категория договоров широко обсуждается в литературе с начала двадцатого века, и являлась предметом многочисленных исследований. Следует отметить, что в настоящее время нет никаких споров о договорах присоединения, так что авторы J. Calais-Auloy, и F. Steinmetz считают, что в целом договоры присоединения являются«социальной реальностью», и это наиболее приемлемые договорные категории, по сути, требующие массового производства и распределения продуктов и услуг, предлагаемых потребителям. Директива nr. 93/13/CEE определяет договоры присоединения, результатом которых продажи стали массовым явлением, как следствие отсутствия прямых переговоров между договаривающимися сторонами. Во французской доктрине, существует мнение о том, что договор присоединения может выступить в качестве прикрытия профессиональных злоупотреблений экономических агентов, из-за чего возбуждение дел об ответственности в отношении договоров присоединения, может быть опротестовано в связи с отсутствием доказательств ведения прямых переговоров. Коммерческие организации и иные лица, присоединяющиеся к условиям договора в связи с осуществлением предпринимательской деятельности, не наделены в полной мере объемами правомочий присоединившейся стороны на расторжение или изменение договора. Ответ дается в ст. 3, пункт. (2), раздел 2 Директивы nr. 93/13/CEE об условиях в потребительских договорах, которые предусматривают, что, несмотря на то, что некоторые пункты являлись предметом переговоров, которые велись ранее, не исключает возможность существования предварительно сформулированных договоров, если они являются результатом оценки договора в целом. Форма предварительного договора должна соответствовать требованиям, предъявляемым к основному договору. Содержание предварительного договора представляет собой обязательства сторон по заключению в будущем соответствующего договора о передаче имущества, выполнении работ или оказании услуг (основного договора). Основной договор должен быть заключен на условиях, предусмотренных предварительным договором. Отсутствие переговоров, в таком случае основано на том, что потребитель всегда в пределах прямой досягаемости для реальных переговоров.
